1. Acceptance of Terms

By accessing or using any services provided by DMKV House of Marketing, you agree to comply with these Terms & Conditions and all applicable laws and regulations.

If you do not agree with any portion of these Terms, you should discontinue the use of our website and services immediately.

• Business Strategy Consulting

The exact scope, deliverables, timelines, and fees for each project shall be outlined in a separate proposal, quotation, agreement, statement of work (SOW), or invoice.

DMKV reserves the right to refuse service requests that violate applicable laws, regulations, or ethical business standards.

3. Client Responsibilities

To ensure successful project delivery, clients agree to:

Provide Accurate Information

Clients must provide accurate, complete, and up-to-date information necessary for service execution.

Timely Communication

Clients are responsible for responding to requests, approvals, feedback, and revisions within a reasonable timeframe.

Access to Required Assets

Clients must provide access to relevant platforms including:

• Website Hosting
• Domain Registrars
• Google Business Profile
• Google Analytics
• Google Search Console
• Social Media Accounts
• Advertising Platforms

Content Ownership

Clients warrant that all content, logos, trademarks, images, videos, and materials supplied to DMKV are legally owned or properly licensed.

DMKV shall not be liable for copyright or intellectual property violations arising from materials provided by the client.

4. Payment Terms

Quotations and Invoices

All quotations issued by DMKV are valid for 30 days unless otherwise specified.

Payment Schedule

Payment terms will be specified within the proposal, invoice, or service agreement.

Unless otherwise agreed:

• Projects below ₹50,000 require 100% advance payment.
• Projects above ₹50,000 may require milestone-based payments.
• Monthly retainers are payable in advance.

Late Payments

Invoices not paid by the due date may result in:

• Suspension of services
• Delayed project delivery
• Additional administrative charges
• Restriction of access to completed deliverables

Taxes

All fees are exclusive of applicable taxes, including GST, unless explicitly stated otherwise.

The client is responsible for paying any applicable taxes imposed by law.

5. Intellectual Property Rights

Client-Owned Assets

Upon full payment of all outstanding invoices, ownership of custom-created deliverables shall transfer to the client unless otherwise specified in writing.

These may include:

• Website designs
• Marketing creatives
• Content assets
• Branding materials
• Campaign deliverables

DMKV-Owned Assets

DMKV retains ownership of:

• Internal methodologies
• Marketing frameworks
• Business processes
• Proprietary tools
• Templates
• Software components
• Research systems

These assets remain the intellectual property of DMKV regardless of project completion.

Portfolio Rights

Unless restricted by a separate Non-Disclosure Agreement (NDA), DMKV reserves the right to showcase completed work, case studies, and campaign results in its portfolio, marketing materials, and business presentations.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary and non-public information disclosed during the business relationship.

Confidential information may include:

• Business plans
• Marketing strategies
• Customer information
• Financial data
• Internal documentation
• Technical information

Neither party shall disclose confidential information to third parties without prior written consent except where required by law.

This confidentiality obligation shall survive termination of services for a period of two (2) years.

7. Limitation of Liability

DMKV provides services using commercially reasonable efforts and industry best practices.

However, we do not guarantee:

• Search engine rankings
• Specific advertising performance
• Revenue growth
• Lead generation volume
• Social media engagement levels
• Business profitability

Marketing outcomes are influenced by numerous external factors beyond our control.

Under no circumstances shall DMKV be liable for:

• Loss of revenue
• Loss of profits
• Business interruption
• Loss of data
• Indirect damages
• Consequential damages
• Third-party platform actions

Our maximum liability shall not exceed the total amount paid by the client to DMKV within the preceding three (3) months before the claim arose.

8. Termination

Client-Initiated Termination

Clients may terminate services by providing written notice as specified in the service agreement.

DMKV-Initiated Termination

DMKV may suspend or terminate services immediately if:

• Payment obligations are not met.
• The client engages in unlawful activities.
• The client abuses team members or contractors.
• Required information is withheld.
• There is a breach of these Terms.

Effect of Termination

Upon termination:

• Outstanding invoices become immediately due.
• Access to deliverables may be withheld until payment is received.
• Ongoing work will cease.
• Previously completed deliverables will be transferred upon settlement of all dues.

9. Third-Party Platforms

Many DMKV services rely on third-party platforms including:

• Google
• Meta
• LinkedIn
• Shopify
• WordPress
• Hosting Providers
• CRM Systems

DMKV is not responsible for:

• Platform outages
• Account suspensions
• Algorithm updates
• Policy changes
• Third-party service disruptions

Clients remain responsible for maintaining compliance with the terms and policies of these platforms.

10. Governing Law & Dispute Resolution

These Terms shall be governed and interpreted in accordance with the laws of India.

Any dispute arising from these Terms shall first be addressed through good-faith negotiations between both parties.

If a resolution cannot be reached, disputes shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India.

Both parties agree to attempt amicable resolution before initiating formal legal proceedings.

11. Force Majeure

DMKV shall not be held liable for delays or failure to perform obligations resulting from circumstances beyond reasonable control, including but not limited to:

• Natural disasters
• Government restrictions
• Internet outages
• Cybersecurity incidents
• Labor disputes
• Pandemics
• Acts of war

Service timelines may be adjusted accordingly.

12. Changes to Terms

We reserve the right to revise these Terms at any time.

Updated versions will be published on our website with a revised effective date.

Continued use of our services following updates constitutes acceptance of the revised Terms & Conditions.
